Biography
Gary’s practice focuses on complex commercial and government-enforcement litigation, investigations, and related compliance matters and transactions. He has significant experience conducting complex litigation and internal investigations, including parallel proceedings involving private actions and enforcement proceedings by the Department of Justice and other federal agencies and self-regulatory organizations, including the Securities and Exchange Commission, the Commodity Futures Trading Commission, and the Financial Industry Regulatory Authority.
Many of Gary’s government-enforcement matters arise under the Foreign Corrupt Practices Act; the antifraud provisions of the Securities Exchange Act; the reporting, antimanipulation, and antifraud provisions of the Commodity Exchange Act; and sanctions promulgated by the Office of Foreign Assets Control. Many of his matters require resolving conflicts of laws including data-protection, state-secrecy, and labor laws.
Gary’s civil-litigation matters include both trial and appellate work in both state and federal courts. He has significant experience in litigated proceedings in and related to Chapter 11 reorganization cases.
Gary also regularly counsels clients on compliance with laws and business-ethics standards. This includes advising clients on organizing their compliance functions; providing training and advice on prospective conduct; and drafting codes of ethics, policies, and procedures. Gary also assists deal teams engaged in mergers, acquisitions, and financings in conducting legal-compliance diligence and provides advice to merging and acquiring companies on post-closing investigations and remediation of targets.
